Terms of Service
Effective Date: 1 January 2026 • Last Updated: 27 October 2026
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between SelfStrata Infrastructure ("SelfStrata", "we", "us") and the Owners Corporation or authorized Strata Committee subscriber ("you", "Subscriber") using the SelfStrata software application.
By signing up, accessing, or using the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and the governing laws of New South Wales, Australia.
2. Strict Non-Agency & Software-Only Declaration
IMPORTANT: SelfStrata is an administrative software tool. We are NOT a licensed strata managing agent.
- No Strata Agency: SelfStrata does not hold a strata managing agent licence under the Property and Stock Agents Act 2002 (NSW), does not act as an agent of the Owners Corporation, and does not accept statutory delegations of committee authority.
- No Financial or Legal Advice: The platform provides record-keeping, double-entry ledger calculation, and statutory template tools. It does not provide legal, tax, or financial advisory services.
- Committee Responsibility: The Owners Corporation and its elected Strata Committee retain sole legal responsibility and fiduciary duty for all decisions, general meeting resolutions, levy striking, debt recovery, and regulatory filings under the Strata Schemes Management Act 2015 (NSW).
3. Platform Eligibility
SelfStrata is engineered specifically for self-managed residential strata schemes. To use the platform, your scheme must satisfy the following criteria:
- Scheme Type: Residential strata schemes registered under NSW legislation.
- Scheme Size: Schemes comprising 20 lots or fewer.
- Turnover Limit: Schemes operating under the Australian Taxation Office (ATO) $150,000 gross turnover limit that are not registered for GST. The platform does not calculate or lodge Business Activity Statements (BAS) or GST returns.
- Self-Managed: Schemes where the Strata Committee administers its own affairs without an external strata managing agent holding financial custody.
4. Committee Obligations
As an authorized committee subscriber, you represent and warrant that:
- You hold valid legal authorization from the Owners Corporation to configure and operate the platform.
- You will ensure compliance with Section 256 of the SSMA 2015 regarding electronic notice delivery consent from lot owners.
- You will independently verify the accuracy of all financial distributions, levy calculations, supplier bank details, meeting minutes, and Section 184 certificates prior to formal issuance or disbursement.
- You will maintain appropriate statutory building and public liability insurance as required by Part 8 of the SSMA 2015.
5. Subscriptions, Wholesale Metered Disbursements & Standing Direct Debit
Subscription pricing is structured as a transparent flat fee of $10 AUD per lot per month, billed monthly in advance, with zero upfront stored utility float ($0.00 held overnight).
- Zero Contractor Cuts: We never take cuts, commissions, or rebates on maintenance invoices, trade contractors, or insurance premiums.
- Detailed Vault Statement Prior to Standing Direct Debit Pull ($100.00 Threshold or Monthly Close): On-demand wholesale disbursements (Australia Post mailroom letters, AI token queries, SMS notices, optional Open Banking CDR feeds, and Monoova PayID/BPAY/Direct Debit rail fees) are metered strictly at 100% upstream wholesale cost ($0 markup). Upon accrued unbilled usage reaching $100.00 AUD or at the close of each monthly billing cycle (whichever occurs first), SelfStrata generates and permanently archives a Detailed Itemized Wholesale Utility Statement in your scheme's 7-year Document Vault (SSMA 2015 s 180) prior to initiating collection.
- Standing Collection Authority: Pursuant to the scheme's executed dual wet-ink BECS Direct Debit Request (DDR), SelfStrata holds unconditional standing authority to collect each itemized statement balance (triggered at $100.00 AUD accrued spend or monthly close) automatically from the scheme's nominated ADI bank account upon Vault archival without requiring separate per-statement re-approval. Line-item billing inquiries may be raised within 30 days of statement issuance for reconciliation credit on the subsequent cycle.
- No Lock-In & Full Data Portability: Subscriptions may be cancelled with 30 days written notice, with full export of journals, roll records, and Vault documents in open formats (CSV, JSON, PDF).
6. Payment Rail Protections: What We DO Protect vs. What We DO NOT Protect
Transient NPP/PayID collection and BECS Direct Debit clearing rails are powered by Monoova Payments Pty Ltd (ABN 38 126 015 227, AFSL #421414 — Combined FSG & PDS). Subscribers acknowledge the following explicit protections and statutory boundaries:
Protections We DO Provide:
- Immediate 100% Gross ADI Sweep ($0 Overnight Float): 100% of inbound owner PayID levy payments sweep immediately upon receipt to the Owners Corporation's nominated Australian ADI bank account, maintaining $0 stored client money overnight in compliance with NSW SSMA 2015 s 78(1) and ASIC Instrument 2026/167.
- Dual Wet-Ink BECS DDR & Two-Officer Sign-Off: Outbound supplier payouts remain locked until a physical dual wet-ink signed BECS DDR is SHA-256 hashed and archived in the 7-year Vault, and every supplier disbursement requires two distinct Strata Committee officer approvals plus verified General Meeting authority where expenditure exceeds s 102 committee caps.
- Sale-Triggered PayID Deregistration: Recording an ownership transfer deregisters the outgoing vendor's PayID and closes the underlying Automatcher account (where zero active lots remain) so misdirected post-settlement transfers bounce at the bank.
Protections We DO NOT Provide (Subscriber Risk Allocation):
- Not an ADI Bank — No $250,000 FCS Government Guarantee in Transit: Neither SelfStrata nor Monoova is an Authorised Deposit-taking Institution (ADI) under the Banking Act 1959 (Cth). Funds transiently clearing through Monoova payment rails are not bank deposits and are not protected by the Australian Government $250,000 Financial Claims Scheme (FCS) until settled into your scheme's ADI bank account.
- Irrevocability of Cleared NPP / Osko & BPAY Payouts: Once two Committee officers authorize a disbursement and funds clear via NPP or BPAY, settlement is final and irrevocable; neither SelfStrata nor Monoova can unilaterally recall cleared funds.
- Zero Indemnity for Invoice Fraud, BEC, or Spoofed Supplier BSBs: SelfStrata does not verify the authenticity of supplier invoices or contractor BSB/account numbers. The two co-signing Strata Committee officers bear sole legal responsibility to perform independent out-of-band verification (such as phone callback confirmation) against Business Email Compromise (BEC) prior to co-signing.
- BECS 2–3 Business Day Clearing & Dishonour Liability: BECS Direct Debits require 2–3 business days to clear. Insufficient funds in the scheme's ADI account will trigger a bank dishonour, automatically reversing ledger settlement and leaving the scheme solely liable for bank dishonour fees or late supplier charges.
7. Limitation of Liability
To the maximum extent permitted by the Australian Consumer Law, SelfStrata provides the platform "as is" and "as available". While our calculation engines are designed in strict accordance with the formulas of the Strata Schemes Management Act 2015 (NSW), we do not warrant that calculations are error-free or that the software will prevent NCAT disputes.
Our total aggregate liability for any claim arising out of or relating to these Terms or the service is strictly limited to the total subscription fees paid by the scheme to SelfStrata during the twelve (12) months preceding the claim.
8. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of New South Wales and the Commonwealth of Australia. The parties irrevocably submit to the non-exclusive jurisdiction of the courts of New South Wales.
